iPivot Terms & Conditions

These Terms & Conditions (“Terms”) apply to your use of the iPivot website and platform (“Platform”). By accessing or using the Platform, you agree to these Terms.

Terms & Conditions - the basics

1) What iPivot does (and does not do)

iPivot provides a digital platform to facilitate equity crowdfunding (“ECF”) campaigns by issuers and participation by investors.

iPivot does not provide investment advice, and does not guarantee fundraising success, returns, liquidity, or outcomes. You are responsible for your own decisions and should obtain independent professional advice where needed.

 

2) Accounts, eligibility & verification

You must provide true, accurate and complete information when registering and using the Platform, and keep your login details confidential.

We may require identity verification and other checks (including AML/CFT screening) before allowing access to certain services, and may suspend or terminate access where required for compliance or user protection. 

3) Risk warning (Important)

ECF investments are high risk, may be illiquid, and you may lose all of your investment. You must read all campaign disclosures and risk warnings before investing. 

4) Fees

Any fees and charges (platform fees and/or third-party fees) will be disclosed on the Platform and/or in the relevant campaign documents. 

 

5) Platform rules and our rights

To support compliance and investor protection, iPivot may request clarifications, require amendments to content, pause or remove listings, and restrict access where appropriate (including where information appears inaccurate, unclear, or misleading).

INVESTOR TERMS

 

6) Investor category & investment limits

You must declare your investor category and comply with applicable limits:

  • Retail: maximum RM10,000 per issuer, and RM50,000 total within a 12-month period

  • Angel: maximum RM500,000 within a 12-month period

  • Sophisticated: no restriction 

 

7) No advice

iPivot does not provide investment advice. You are responsible for assessing each opportunity, reviewing disclosures, and obtaining independent advice if needed.

 

8) Withdrawal / secondary market (where applicable)

Any withdrawal rights and/or secondary trading features (if any) are subject to applicable rules and the specific terms shown on the Platform and in campaign documents.

ISSUER TERMS

 

9) Issuer responsibility for disclosures

Issuers are responsible for ensuring all information and documents disclosed on the Platform are fair, accurate, clear and not misleading, and do not omit material information.

 

10) Ongoing updates (after successful fundraising)

Issuers are expected to provide ongoing updates to investors/shareholders as required by applicable rules and as set out on the Platform.

T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).     

PLATFORM DISCLOSURES & OBLIGATIONS

iPivot will display prominently on the Platform (where applicable):

  • necessary risk warning statements and key risk factors;

  • information on investor rights relating to investing/trading;

  • access criteria and education materials;

  • fees/charges and other expenses;

  • complaints handling / dispute resolution procedures; and

  • processes and contingency arrangements if iPivot is unable to operate or ceases business. 

 

11) Privacy

We handle personal data in accordance with our Privacy Policy. By using the Platform, you consent to our processing of your personal data for platform operations and compliance purposes.

 

12) Disclaimers & limitation of liability

The Platform is provided on an “as is” basis. To the fullest extent permitted by law, iPivot is not liable for losses arising from issuer performance, investor decisions, inaccurate issuer disclosures, or third-party service providers. Nothing in these Terms limits liability that cannot be excluded under applicable law.

 

13) Complaints

If you have a complaint, contact compliance@ipivot.asia. We will acknowledge and respond within 7 business days. 

 

14) Changes to these Terms

We may update these Terms from time to time by posting the updated version on this page with a revised “Last updated” date.

 

15) Governing law

These Terms are governed by the laws of Malaysia, and disputes are subject to the courts of Malaysia.
